Documents Required for Joint Venture Registration:



Chinese partner side shall provide with:
• Chinese and foreign investors ID, 2x copies
• Chinese partner's local company business license, company stamp on it, 2x copies
• CPA Firm's Capital Verification Report with Chinese partner's company stamp on it, 2x copies
• Chinese partner's last year audit report with company stamp on it, 2x copies
• Board director's name list of Joint Venture, 1 x copy 
• Chinese partner's local company's article of association, 2x copies

Foreign Partner side shall provide with:
• Incorporation or Equal document certified by Chinese embassy or Chinese consulate overseas, 2x Certificate

Documents Required For Individual Investor:
• Investors’ passport copy version need to be certified by Chinese embassy or consulate. Recheck with us if individual investor is in China currently.
• Investor’s bank to declare a good standing, 2x Bank Reference Letters
• (a)Parent company's director (b) China company's Legal Representative and (c) China company's supervisor.( a)(b)(c) passport copy.
• Chinese Legal Representative shall provide with: 6 photos (2 inches size), brief resume
• A brief introduction of the foreign investor(s) including name, address and telephone number
• Registered capital; Business Scope; 5 proposed Chinese names of China JV
• Office address, 2x leasing contracts , 2x certificate of real estate ownership , and 2x landlord identification
• Certificate of authorization
• Only a trading Joint venture should be equipped with these documents: The latest annual audit report copy from the parent company which provided by a Certified Public Accountant (CPA)  and Custom HS Code of proposed Import/Export products in China

Required List of Joint Venture Register in Shanghai

Chinese partner side shall provide with:
• The foreign company shareholder required info

• Copy of foreign shareholder’s business license, six copies, stamped and signed, translated, legalized by local Notary and Chinese consulate. 

• Translation Company’s business license copy, stamped and signed, six copies. (Advice you to choose Chinese translation company, otherwise you need to legalize translation company license)

• Foreign partner side shall provide with:

• Shareholder’s bank reference letter, two originals, two translations.

• The Chinese shareholder required info

• Chinese company business license, copies of original and duplicate, each four copies, two of them stamped.

• Organization of code certification, copies of original and duplicate, each four copies, two of them stamped.

• Tax register certification, copies of original and duplicate, each four copies, two of them stamped.

Registration Procedures:
Foreign companies are not allowed to directly submit the application documents to the relevant authorities. They must retain a PRC entity (For instance: Jilian) that is authorized or permitted by relevant authorities to act as an agent. The agent will submit all the documents to the examination and approval authority on behalf of the foreign enterprise. Procedures for setting up the Joint Venture (JV) in China: Shanghai, Beijing, Shenzhen etc. are as following:
• Open Foreign Exchange and RMB bank account
• Certificate of Approval of Joint Venture by Ministry Of Commerce or Foreign Economic Cooperation Bureau (MOFEC)
• Applying for Business License with SAIC
• Registration and Approval with State Administration of Foreign Exchange (SAFE)
• Enroll name at State Administration of Industry and Commerce (SAIC)
• Injection from investor’s overseas bank account
• Capital Verification Report offered by Certified Public Accountant (CPA)
• Applying for Permanent Business License with SAIC
• Financial certificate Registration
• Organization Code License issued by Technical Supervision Bureau (TSB) 
• Statistics license Registration
• Tax Certificate by Tax Bureau
